An agreement, gently kept.
These Terms & Conditions form the complete agreement between Sang Spa Signature — operating from Jl. Jembawan No. 13B, Padang Tegal, Ubud — and the guest who reserves, attends, or otherwise receives any ritual, treatment, voucher, or hospitality experience offered under our name. They are not the small print of a transaction; they are the architecture of a promise. By making a reservation, accepting a confirmation, presenting a voucher, or crossing the threshold of our sanctuary, you indicate that you have read, understood, and accepted these Terms in full.
We have written this document in language as plain as the law will allow, in the belief that a luxury experience is not diminished by being legible. Where a clause is technical, we have explained why. Where a clause favours us, we have said so. Where a clause protects you, we have made that equally clear.
Hospitality begins with honesty. These Terms are the honesty of our hospitality, set down in writing.

Definitions & Interpretation.
In these Terms, the following words carry the meanings set against them. Capitalised terms not defined here take their ordinary meaning in the English language. References to the singular include the plural and vice versa; references to a gender include all genders; and headings are for convenience only and do not affect interpretation.
- The Sanctuary
- The premises operated by Sang Spa Signature at Jl. Jembawan No. 13B, Padang Tegal, Ubud, Gianyar, Bali 80571, including all treatment rooms, gardens, lounges, changing facilities, and any auxiliary venue at which we deliver a service from time to time.
- We / Us / Our
- Sang Spa Signature, the trading name of the duly registered Indonesian business entity operating the Sanctuary, together with its directors, employees, contracted therapists, and authorised agents.
- You / Guest
- The natural person who makes a reservation, presents a Voucher, accepts a confirmation, or attends the Sanctuary to receive a Ritual, whether on their own behalf or on behalf of another.
- Ritual / Treatment
- Any therapy, massage, body treatment, facial, hydrotherapy, ceremony, or wellness experience offered by us, whether listed on our published menu, packaged within a Programme, or commissioned bespoke.
- Reservation
- Any booking — whether made online, by telephone, by messaging service, by email, through a concierge, or in person — for a Ritual at a specified date and time.
- Confirmation
- The written acknowledgement we issue (typically by email or messaging service) that records the Ritual, date, time, therapist, total payable, and any deposit received. The Confirmation, together with these Terms, forms the agreement between us in respect of that Reservation.
- Voucher
- Any gift certificate, programme credit, prepaid package, or loyalty instrument issued by us, whether physical or digital, redeemable at the Sanctuary in accordance with Article XI.
- Service Charge
- The customary 10% service charge applied in addition to the published price of each Ritual, in line with Indonesian hospitality practice. This is distinct from any government tax and from gratuities.
- Government Tax
- The Pajak Pembangunan I (PB1) levied on hospitality and entertainment services in the Province of Bali, currently at the prevailing statutory rate, applied to the price of each Ritual together with the Service Charge.
- Working Day
- Any day other than a Saturday, Sunday, Indonesian national public holiday, or day of religious observance on which the Sanctuary is closed (including Nyepi, the Balinese day of silence).
- Force Majeure
- An event beyond the reasonable control of a party, as more fully described in Article XV.
Acceptance, Eligibility & Capacity to Contract.
By making a Reservation, presenting a Voucher, or attending the Sanctuary to receive a Ritual, you confirm that you have read these Terms, that you accept them in full, and that you have the legal capacity to enter into a binding agreement under the laws of the Republic of Indonesia.
A. Age & capacity
You must be eighteen (18) years of age or older to make a Reservation in your own name. Guests under the age of eighteen may receive selected Rituals only with the written consent and in-Sanctuary attendance of a parent or legal guardian, and only where the Ritual has been expressly authorised by us as suitable for minors (see Article XII).
B. Reservations on behalf of others
If you make a Reservation on behalf of another person — for example, a spouse, friend, colleague, or gift recipient — you represent and warrant that you have the authority to bind that person to these Terms, that you have communicated their substance to them, and that you accept joint and several responsibility for any cancellation fees, no-show charges, or property damage attributable to the attended guest.
C. Truthfulness of information
You agree that all information you provide to us — including your name, contact details, dietary restrictions, allergies, pregnancy status, medical history, and any other matter relevant to the safe delivery of the Ritual — is true, accurate, and complete to the best of your knowledge. You undertake to inform us of any material change in such information before the Ritual commences.
D. Right to refuse
We reserve the right, exercised in good faith, to refuse or terminate any Reservation where we reasonably believe that a Guest lacks legal capacity, has misrepresented material information, is intoxicated, presents a clinical contraindication, or has previously breached these Terms. Where a Reservation is refused for misrepresentation, no refund of any deposit shall be due.
Reservations, Deposits & Confirmation.
A Reservation becomes binding on us only upon our issuance of a written Confirmation. An automated acknowledgement of receipt — for example, the system message that follows an online booking form — is not a Confirmation; it is merely evidence that we have received your request.
A. How to reserve
Reservations may be made via our website booking module, by email to reservations@sangspa.com, by WhatsApp to +62-82-1313-3711, by telephone to +62-82-1313-3711, or in person at our reception. Reservations made through third-party platforms are subject to the additional terms of that platform; in any conflict, the terms of the platform that has actually collected payment shall prevail in respect of payment, and these Terms shall prevail in respect of the conduct of the Ritual itself.
B. Deposits & pre-authorisation
For Rituals priced at or above IDR 1,500,000 per Guest, for any Reservation involving two (2) or more Guests in adjacent rooms, and for all Programmes of three (3) hours or more, we require either (i) a non-refundable deposit of 50% of the total price, payable at the time of booking, or (ii) a valid credit-card pre-authorisation in the equivalent amount. The remaining balance is settled at the Sanctuary on the day of attendance.
C. Confirmation & verification
The Confirmation constitutes the operative record of your Reservation. You are asked to review it on receipt — in particular the date, the start time, the duration, the therapist (where requested), and any disclosed medical notes — and to advise us within twenty-four (24) hours of any discrepancy. Discrepancies notified after that period may not be rectifiable without consequence under the cancellation schedule in Article V.
D. Currency, payment methods & surcharges
All prices on our menu are quoted in Indonesian Rupiah (IDR) unless explicitly stated otherwise. We accept cash in IDR, all major credit and debit cards (Visa, Mastercard, JCB, American Express), and selected digital payment instruments (QRIS, GoPay, OVO). Foreign-currency transactions, where accommodated, are converted at the prevailing rate of our banking partner on the day of payment; we do not absorb currency-conversion losses, foreign-issuer surcharges, or dynamic-currency-conversion premiums imposed by your card issuer.
Pricing, Service Charge, Taxes & Gratuities.
Published prices are net of the Service Charge and Government Tax. Each invoice will display a transparent break-down: the Ritual price, the 10% Service Charge, the prevailing PB1 Government Tax, and any discretionary gratuity you elect to add. Where local regulation changes the applicable rate, the new rate will apply from its statutory effective date — including for Reservations confirmed before that date but performed after it.
A. Service Charge
The 10% Service Charge is a customary hospitality levy. It is shared, in accordance with our internal distribution policy, among the therapists, attendants, reception, and support staff who contribute to your visit. It is not a gratuity, and its inclusion does not preclude an additional gratuity at your discretion.
B. Gratuities
Gratuities to individual therapists are entirely at your discretion, are gratefully received, and pass to the therapist in full. They may be added to your final bill or given directly. We neither encourage nor discourage tipping; the quality of your Ritual will not vary by reference to it.
C. Price changes
We may revise the menu and its prices at any time. Any Reservation already confirmed in writing is honoured at the price set out in its Confirmation, save where the change arises from a statutory tax adjustment as described above, or where the Reservation has been moved at your request to a Ritual at a different price (in which case the new price applies in full).
D. Promotions & package codes
Promotional codes, seasonal offers, and partnership benefits are not stackable unless expressly stated, are not redeemable for cash, are non-transferable, and are subject to any blackout dates or capacity caps published with the promotion. Eligibility is verified at booking; an offer applied in error may be withdrawn at any point up to and including arrival, and the standard menu price reinstated.
Cancellation, Rescheduling & No-Show Policy.
Treatment time is the most finite resource in our Sanctuary. When a Reservation is cancelled at short notice, the therapist's day cannot easily be re-allocated, and another guest who might have wished to attend has often been declined. Our cancellation policy is calibrated to that reality and is applied consistently, without exception, save where Force Majeure applies (see Article XV).
All cancellations and rescheduling requests must be received in writing — by email to reservations@sangspa.com or by WhatsApp to +62-82-1313-3711 — and are timestamped on receipt at our reception. Voicemail messages, missed calls, and messages to personal accounts of staff do not constitute valid notice.

A. Rescheduling
A first rescheduling, requested more than twenty-four (24) hours before the start time, is offered without charge, subject only to availability. A second rescheduling of the same Reservation, or any rescheduling within twenty-four (24) hours, is treated as a cancellation under the schedule above and re-booked at the prevailing menu price.
B. Group & private-buyout reservations
Reservations of four (4) or more Guests, full-day Programmes, and private buy-outs of any treatment area are subject to an extended notice period: seven (7) days for full refund, seventy-two (72) hours for 50%, and less than 72 hours for full charge. Bespoke event terms, where issued, prevail over this clause.
C. Refunds, governmental orders, illness
Where cancellation is necessitated by a documented Force Majeure event, by a governmental travel restriction, or by acute illness evidenced by a medical certificate dated before the start time, we will move the Reservation to a future date within twelve (12) months at no charge, or, at our discretion, refund the deposit in full. Cancellations for elective changes of itinerary are not Force Majeure.
Late Arrival, Session Duration & Forfeiture.
We ask that Guests arrive fifteen (15) minutes before the scheduled start time to allow for a calm welcome, the completion of a confidential health intake, and the unhurried passage from street to robe. The Ritual cannot begin meaningfully without that interval; please treat the start time as the hand on the therapist, not the hand on the door.
A. Late arrival
Where you arrive after the scheduled start time, we will do our best to deliver the full Ritual; however, in order not to disturb the Guest who follows you, the session may be shortened by the equivalent of your delay. The published price is not reduced in such cases — the time has been reserved exclusively for you. If your delay exceeds thirty (30) minutes, we may, at our discretion, treat the Reservation as a no-show under Article V.
B. Session duration
The duration stated on our menu refers to therapist hands-on time. It does not include the welcome, consultation, changing, hydration, or close. A "60-minute massage" reserves approximately ninety (90) minutes of your afternoon. We do not extend the hands-on portion to compensate for late arrival or for time absorbed in consultation; the integrity of the schedule that follows you depends on it.
C. Forfeiture in package contexts
Where a Reservation is part of a multi-Ritual Programme or prepaid Package, time forfeited under this Article is forfeited in respect of that single visit only and does not affect remaining sessions. Unused minutes within a single Ritual cannot be carried to a subsequent visit.
Health Disclosure, Contraindications & Medical Liability.
Our therapies are designed to support, restore, and enhance physical and emotional well-being. They are not a substitute for medical advice, diagnosis, or treatment. Our therapists are skilled and accredited within the scope of their respective disciplines (traditional Balinese, Swedish, deep tissue, Ayurvedic, hydrotherapy, aromatic, beauty, and energy practices); they are not, and do not represent themselves as, licensed physicians, physiotherapists, or psychotherapists.
A. Mandatory disclosure
Before any Ritual commences, you will be asked to complete a confidential health intake form. You must disclose, in writing or to your therapist directly, any condition that could affect your safety or comfort during treatment, including but not limited to: pregnancy or suspected pregnancy; recent surgery; cardiac, vascular, or circulatory conditions; high or low blood pressure; diabetes; epilepsy; cancer (current or in remission); infectious or contagious skin conditions; allergies (to latex, oils, fragrance, nuts, shellfish, plant matter, or any other substance); recent injuries, fractures, or muscular strains; thrombosis or DVT history; recent cosmetic injectables or laser treatment; intoxication; or any medication that affects bleeding, sensation, or consciousness.
B. Contraindications & modifications
Where a disclosed condition is a clinical contraindication to the Ritual booked, we may, in good faith and in consultation with you, (i) modify the Ritual (lighter pressure, different oils, different posture, shorter duration), (ii) offer an alternative Ritual at the same price or its closest equivalent, or (iii) decline to proceed and refund any sums paid for the affected Ritual. A decision to decline is made for your safety and is not a breach of these Terms.
C. Acknowledgement of risk
You acknowledge that physical therapies — by their nature — involve manual contact, the application of pressure, the use of warm and cold media, the use of essential oils and botanical preparations, and the assumption of postures that may be unfamiliar. Even where best practice is observed, transient soreness, mild bruising, allergic response, dermatological reaction, or emotional release may occur. By proceeding with the Ritual you accept these ordinary risks of treatment.
D. Failure to disclose
We rely entirely on the truthfulness and completeness of the health information you provide. To the fullest extent permitted by law, we shall not be liable for any injury, deterioration, or adverse outcome arising in whole or in part from the failure of a Guest to disclose a relevant condition, and the Guest shall indemnify us against any third-party claim arising from such non-disclosure.
Conduct of Treatments & Therapist–Guest Boundaries.
Sang Spa Signature is a strictly non-sexual, non-erotic establishment. Every Ritual on our menu is therapeutic, ceremonial, or aesthetic in nature. Our therapists are professionals, and the treatment room is, for the duration of the Ritual, their place of work.
A. Draping & modesty
You will be invited to undress to the level of your comfort, and proper draping is observed at all times. Areas of the body not actively being treated remain covered. You may decline to remove any garment, you may pause or end the Ritual at any time without explanation, and you may at any moment request a different therapist or a same-gender therapist where one is available.
B. Pressure, technique & communication
Pressure, posture, oil quantity, and ambient temperature are tailored to your preference. We encourage you to speak openly with your therapist throughout — whether to ask for more or less pressure, a focus on a specific area, or silence. The Ritual is for you; speaking honestly about it improves it.
C. Therapist–Guest boundary
Any sexual proposition, suggestive remark, deliberate exposure, attempt to remove draping, or unwanted physical advance towards a therapist or member of staff is a material breach of these Terms. The Ritual will be terminated immediately, the Guest will be required to leave the Sanctuary, the full Ritual price will be charged, future Reservations will be refused, and we reserve the right to report the conduct to the relevant authorities under applicable Indonesian law.
D. Right of withdrawal — therapist
Our therapists are entitled to terminate any Ritual, at any moment, where they reasonably believe that to continue would compromise their safety, the safety of the Guest, or the integrity of the treatment. Where a Ritual is terminated for cause attributable to the Guest, no refund shall be due.
Code of Conduct, Sanctuary Etiquette & Right of Refusal.
The Sanctuary is, by deliberate design, a quiet place. Its quiet is the gift it offers every Guest, and the etiquette that follows is the means by which that gift is preserved.
You are asked to enter softly, to speak softly, and to leave the day at the door. Everything that follows is in service of that single request.
A. Voices, devices & silence
Mobile phones must be set to silent mode in lounges and fully switched off in treatment rooms. We ask that calls, voice messages, and speakerphone audio be reserved for outside the Sanctuary. Photography, screen-recording, and live-streaming are not permitted inside treatment rooms or in changing facilities under any circumstance (see Article XIII).
B. Children & companions
Out of respect for the experience of all Guests, only those with confirmed Reservations may pass beyond reception. Companions and drivers are warmly welcomed to wait in the reception lounge, where refreshments are served. Guests under the age of twelve (12) cannot be accommodated except by prior written arrangement and only for selected family Rituals (see Article XII).
C. Intoxication & substances
We will not deliver a Ritual to any Guest who is, or appears to be, under the influence of alcohol or any non-prescribed psychoactive substance. The Ritual will be cancelled, charged in full, and the Guest will be asked to leave. Smoking, vaping, and the use of illegal substances are prohibited anywhere on the premises and will result in immediate termination of the Reservation and, where warranted, referral to the authorities.
D. Reasonable right of refusal
We reserve the right, exercised reasonably and in good faith, to refuse service or to require any person to leave the Sanctuary where their conduct is intoxicated, aggressive, abusive, sexually inappropriate, discriminatory, or otherwise materially disruptive to other Guests or staff. We may also refuse a Reservation where capacity, therapist availability, or operational integrity does not permit it.
Personal Belongings, Lockers & Loss.
Each Guest is provided with a private, key-locked locker in the changing facility. We ask that all valuables — jewellery, watches, electronic devices, passports, and cash — be placed within it for the duration of the Ritual. The locker is for your sole use and the key remains in your possession throughout the visit.
A. Limit of safekeeping
We exercise reasonable care to maintain the security of the locker facility. We are not, however, an insurer of your possessions. To the fullest extent permitted by law, our liability for the loss of, theft of, or damage to any item brought onto the premises is limited to a maximum of IDR 10,000,000 per Guest per visit, and is excluded entirely in respect of items left outside the locker, items not declared to reception, and items of an unusual or extraordinary value (such as fine jewellery, luxury watches, or large sums of cash).
B. Items found
Items left behind are logged at reception, held for a minimum of thirty (30) days, and may be returned to the Guest by traceable courier at the Guest's cost. After that period, unclaimed items are donated to a local charity or, where appropriate, disposed of.
C. Damage to Sanctuary property
Where a Guest causes wilful or grossly negligent damage to the Sanctuary's property — including linens, robes, equipment, finishes, or fittings — the Guest shall reimburse us the reasonable cost of repair or replacement, charged to the card on file or invoiced as appropriate.
Gift Vouchers, Packages & Loyalty Credit.
A Voucher is the most considered of gifts: an invitation to be still. The clauses below govern its issuance and redemption, and any conditions printed on a specific Voucher prevail to the extent of any conflict.
A. Validity
Unless a longer period is printed on the Voucher itself, all gift Vouchers are valid for twelve (12) months from the date of issue. Multi-Ritual Programmes and prepaid Packages are valid for the period stated at purchase, typically twelve (12) to twenty-four (24) months. Loyalty credit accrued at the Sanctuary expires twelve (12) months from the most recent qualifying visit.
B. Redemption & balance
Vouchers may be redeemed against any Ritual on our published menu of equal or higher value, and against Service Charge and Government Tax, but not against retail purchases or gratuities. Where a Voucher exceeds the value of the Ritual chosen, the unused balance remains on the Voucher and is redeemable against any future visit within the original validity period; no cash refund is given for the unused balance.
C. Non-refundability & non-transferability
Vouchers and Packages, once issued, are non-refundable and are not exchangeable for cash or for any retail product. A Voucher may be transferred to a third party only with our written consent and only before its first use; once used in part, it is bound to the redeeming Guest.
D. Loss, theft & expiry
Treat your Voucher as you would any bearer instrument: we cannot replace a Voucher reported lost or stolen unless we can verify it has not been redeemed. Expired Vouchers are not honoured save in cases of demonstrable Force Majeure; extension requests should be lodged in writing before expiry, and any extension granted is at our absolute discretion.
Minors, Pregnancy & Vulnerable Guests.
Some Guests require additional consideration. The clauses below set out our standing accommodations and the standing limits within which we work.
A. Minors
Selected family Rituals — Junior Facials, foot rituals, and gentle scalp treatments — are available to Guests aged twelve (12) to seventeen (17) in the presence of a parent or legal guardian who has signed our minor-consent form. Guests under twelve are not currently accommodated. No Ritual involving deep tissue, prolonged heat exposure, hydrotherapy, or essential-oil saturation is offered to minors regardless of consent.
B. Pregnancy
Specifically formulated Ibu Hamil rituals are offered for Guests who are past the first trimester (week 13 onward) and whose pregnancy is uncomplicated. Treatments involving hot stones, deep abdominal work, sustained prone positioning, or essential oils contraindicated in pregnancy (such as rosemary, sage, or juniper) are not performed during gestation. We require written disclosure of pregnancy at the point of booking; we may, where prudence requires, request a letter of clearance from your obstetrician.
C. Mobility, sensory & cognitive considerations
Our Ubud premises are partly heritage and partly modern; not all areas are step-free. We will gladly discuss access in advance and, where appropriate, adapt the Ritual, relocate the treatment to a more accessible room, or recommend a more suitable alternative. Guests who travel with a carer are warmly welcomed; the carer attends without charge.
D. Mental health & emotional release
Bodywork can occasion unexpected emotional response. Our therapists are trained to hold such moments with discretion and care, but they are not licensed mental-health practitioners. Guests with a current diagnosed condition affecting capacity to consent, perception of touch, or tolerance of confined spaces are asked to discuss this with us in advance so that we may design an experience that is both safe and meaningful.
Intellectual Property & Photography.
The name "Sang Spa Signature", our logos, marks, ritual names, treatment menus, blends, formulations, written materials, photography, music, scent compositions, and the architecture and finishes of our premises are owned or lawfully licensed by us and are protected under Indonesian and international intellectual-property law.
A. Permitted personal use
Photography by Guests is welcome in the gardens, the reception lounge, and any area expressly designated for that purpose, provided that no other Guest, member of staff, or treatment area appears in the frame without their explicit consent. Such images may be shared on personal social channels with kind tagging or mention of @sangspaubud.
B. Prohibited use
Photography, video, audio recording, and live-streaming are prohibited inside treatment rooms, changing rooms, hydrotherapy areas, and the herbal dispensary. Commercial photography, influencer shoots, press, and editorial work require prior written approval and a separate agreement. Reproduction, modification, distribution, or commercial use of our brand assets, ritual names, or written materials without our written consent is prohibited.
C. Use of guest images by us
We do not photograph our Guests. Where, exceptionally — at an event, an editorial day, or a Sanctuary celebration — a photograph might be taken in which a Guest is identifiable, that photograph will not be published or used in marketing without the Guest's express written consent. Consent given may be withdrawn at any time by writing to guestrelations@sangspa.com.
Limitation of Liability & Indemnity.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable Indonesian law — including liability for death or personal injury arising from gross negligence, liability for fraud or fraudulent misrepresentation, and any liability the limitation of which is prohibited by statute. Subject to that, the following limitations apply.
A. Express disclaimer
Save as set out in these Terms, the Rituals and any ancillary services are provided on an "as-rendered" basis. To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations not expressly given in writing — including any implied warranty of medical efficacy, therapeutic outcome, cosmetic result, or weight, sleep, mood, or pain improvement.
B. Cap on liability
Subject to clause A above and the opening paragraph of this Article, our total aggregate liability to any single Guest in respect of any matter arising under or in connection with these Terms shall not exceed two (2) times the price actually paid by that Guest for the affected Ritual, or IDR 25,000,000, whichever is the lower.
C. Excluded losses
We shall not, under any circumstance, be liable for indirect, consequential, or special losses; for loss of profit, business, or opportunity; for loss of enjoyment of an itinerary; for the cost of replacement transport or accommodation; or for any loss attributable to a Guest's failure to disclose material information under Article VII.
D. Indemnity by Guest
You agree to indemnify and hold harmless Sang Spa Signature, its directors, employees, therapists, and authorised agents against all claims, demands, losses, and reasonable legal costs arising from (i) any wilful or grossly negligent act of yours at the Sanctuary, (ii) any breach by you of Articles VIII or IX, and (iii) any non-disclosure of a material health condition under Article VII.
Force Majeure.
Neither party shall be liable to the other for any failure or delay in performance of these Terms, save for the obligation to pay sums already accrued, where such failure or delay is caused by an event reasonably beyond that party's control. Such events include, without limitation: earthquake, volcanic activity, tsunami, flood, fire, extreme weather, prolonged power or water failure, telecommunications outage, epidemic or pandemic, public health order, governmental restriction, civil unrest, act of terrorism, war, religious observance ordered by authority (including Nyepi and similar days of silence), and the unanticipated unavailability of a significant proportion of our therapists.
Where a Reservation is affected by a Force Majeure event, we will use reasonable endeavours to notify you as promptly as possible. We will at our discretion (i) move the Reservation to a comparable date within twelve (12) months at no charge, (ii) issue a Voucher for the value paid, valid for twelve (12) months, or (iii) refund any sums paid in full where neither (i) nor (ii) is acceptable to you. The remedies in this Article are your exclusive remedies in respect of the affected Reservation.
Governing Law, Jurisdiction & Dispute Resolution.
These Terms, the Reservation, and any non-contractual obligation arising out of or in connection with them are governed by, and construed in accordance with, the laws of the Republic of Indonesia, without regard to its conflict-of-laws principles.
A. Direct resolution
We are firm believers that the great majority of disagreements are resolved over a quiet conversation. Any concern, complaint, or claim should in the first instance be raised with our Guest Relations team at guestrelations@sangspa.com. We undertake to acknowledge receipt within three (3) Working Days and to provide a substantive response within twenty-one (21) Working Days.
B. Mediation
If a matter cannot be resolved directly, the parties will, before commencing any formal proceedings, attempt good-faith mediation through a single mediator agreed between them, sitting in Bali. Each party shall bear its own costs of mediation; the mediator's fees shall be shared equally.
C. Jurisdiction
Subject to clauses A and B, the parties submit to the exclusive jurisdiction of the District Court of Denpasar (Pengadilan Negeri Denpasar), save that we retain the right to commence proceedings to recover sums due in any court of competent jurisdiction where the Guest resides.
D. Statutory consumer rights
Nothing in this Article restricts any non-waivable consumer right available to you under Indonesian Law No. 8 of 1999 concerning Consumer Protection (Undang-Undang Perlindungan Konsumen) or any equivalent statute in your country of habitual residence.
Severability, Waiver & Entire Agreement.
A. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from the Terms and the remaining provisions shall remain in full force and effect. The parties shall negotiate in good faith to replace the severed provision with one that, so far as is lawful, gives effect to the original commercial intent.
B. No waiver
Failure or delay by us to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy. A single or partial exercise of a right shall not preclude any further exercise of it. Any waiver by us is effective only if in writing and signed by an authorised officer.
C. Assignment
You may not assign, transfer, or sub-licence your rights or obligations under these Terms (including the benefit of a Reservation, save in accordance with Article XI) without our prior written consent. We may assign or transfer our rights and obligations to a successor entity in connection with a reorganisation, merger, or acquisition.
D. Entire agreement
These Terms, together with the Confirmation, the Privacy Policy, the Cookies Policy, and any conditions printed on a specific Voucher or bespoke event proposal, constitute the entire agreement between us in respect of your Reservation. They supersede all prior representations, prospectuses, and informal communications. No representation, warranty, or undertaking outside this written agreement shall bind either party, save for one made fraudulently.
Changes to these Terms.
These Terms are reviewed at least annually, and ad-hoc whenever a change in our practices, the law, or the menu requires it. The version, version date, and a brief changelog are recorded at the close of every revision.
Where a revision materially alters the substance of the agreement between us — pricing structure, cancellation terms, liability cap, or governing law — we will notify all Guests with active Reservations or active Vouchers in advance, by email and by a clear notice on the website footer for at least thirty (30) days before the revised Terms take effect. The version applicable to your Reservation is the version in force on the date of its Confirmation; later non-material revisions do not retro-actively change that.
Notices & Contact.
Any formal notice required or permitted to be given under these Terms must be in writing. Notices to us are validly given when delivered by email to the address specified below for the relevant subject, or by tracked courier to our postal address, marked for the attention of the General Manager. Notices to you are validly given when sent to the email or postal address recorded in your most recent Reservation.

These Terms & Conditions have been issued by Sang Spa Signature and shall remain in force from the effective date below until superseded by a duly published revision.
